1. AGREEMENT TO TERMS


Welcome to IICD (Indian Institute of Career Development). Please read these Terms of Use which constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and IICD (“Indian Institute of Career Development”, “MNTTA”, “Company,” “we,” “us,” or “our”), concerning your access to and use of the mntta.com website as well as all content and pages located within the mntta.com web domain and all MNTTA mobile applications, or otherwise connected thereto and services offered by IICD (collectively, the “Site”).


By accessing the Site, you acknowledge that you have read, understood, and agreed to abide by all the Terms of Use outlined herein. If you do not consent to these Terms of Use in their entirety, you are expressly prohibited from using the Site and must cease use immediately.


IICD reserves the right to amend these Terms of Use at its discretion and without prior notice. Any modifications to these Terms of Use will become effective immediately upon their posting on this page, along with an updated effective date. By accessing the Site subsequent to any such changes, you indicate your prospective acceptance of the amended Terms of Use and all associated revisions. It is recommended that you revisit this page regularly to stay informed of the most current version of these Terms of Use.


The content provided on the Site is not intended for distribution to or use by any individual or entity in any jurisdiction or country where such distribution or use would contravene applicable law or regulation, or subject us to any registration obligations therein. Accordingly, individuals who choose to access the Site from other locations do so at their own initiative and assume sole responsibility for compliance with local laws, where applicable.


The Site is intended for use by individuals who are at least 18 years of age; individuals under the age of 18 are prohibited from using or registering for the Site.


The Site is offered on an "as-is" and "as-available" basis. By using the Site and our services, you acknowledge that you do so entirely at your own risk.

2. INTRODUCTION


This legal agreement ("Agreement") governs the terms and conditions between the Indian Institute of Career Development (IICD), registered under the Government of Karnataka, India, with its registered office at 731, 1st Main, C Block, AECS Layout, Kundalahalli, Bengaluru, KA 560037 INDIA, and its affiliate, Montessori and Nursery Teachers Training Academy (MNTTA), for conducting educational courses and workshops in both online and offline formats.


3. SCOPE OF AGREEMENT


This Agreement outlines the rights and obligations of both IICD and MNTTA, as well as the terms and conditions governing the participation of Participants in educational courses and workshops offered by MNTTA.


4. INTELLECTUAL PROPERTY RIGHTS


4.1 Ownership


All intellectual property rights, including but not limited to copyrights, trademarks, and patents, pertaining to the content, materials, and resources provided during the educational courses and workshops shall remain the sole property of IICD and MNTTA.


4.2 Use of Materials


Participants are granted a limited, non-exclusive, non-transferable license to access and use the materials provided during the educational courses and workshops for personal and non-commercial purposes only.


4.3 Copyright Clause


Unless otherwise indicated, the Site and its contents, including source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively referred to as "Content"), are the proprietary property of IICD or its licensors. The Content and associated trademarks, service marks, and logos ("Marks") are protected by copyright, trademark, and intellectual property laws. Except as expressly permitted in these Terms of Use, users are prohibited from copying, reproducing, distributing, or exploiting any part of the Site or it’s Content for commercial purposes without prior written consent from IICD. Users are granted a limited license to access and use the Site and it’s Content for personal, non-commercial purposes only. All rights not expressly granted are reserved by IICD. Any unauthorized use may result in legal action.

5. USER REPRESENTATIONS AND WARRANTIES


By using the Site, you affirm, represent, and warrant that:


1. All registration information you provide is true, accurate, current, and complete;

2. You will maintain the accuracy of such information and promptly update it as necessary;

3. You possess the legal capacity to enter into these Terms of Use and agree to abide by them;

4. You are not considered a minor in your jurisdiction of residence;

5. You will not access the Site through automated or non-human means, such as bots or scripts;

6. You will not utilize the Site for any illegal or unauthorized purposes; and

7. Your use of the Site will not contravene any applicable laws or regulations.

Should you provide any information that is found to be untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account and deny you access to the Site, either temporarily or permanently, in whole or in part.


6. USER REGISTRATION


You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.


7. PROHIBITED ACTIVITIES


You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to:

1. Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.


2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.


3. Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content contained therein.


4. Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.


5. Use any information obtained from the Site in order to harass, abuse, or harm another person.


6. Make improper use of our support services or submit false reports of abuse or misconduct.


7. Use the Site in a manner inconsistent with any applicable laws or regulations.


8. Engage in unauthorized framing of or linking to the Site.


9. Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.


10. Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.


11. Delete the copyright or other proprietary rights notice from any Content.


12. Attempt to impersonate another user or person or use the username of another user.


13. Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).


14. Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site. Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.


15. Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.


16. Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code. Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.


17. Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.


18. Use a buying agent or purchasing agent to make purchases on the Site.


19. Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.


20. Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.


21. Use the Site to advertise or offer to sell goods and services. Sell or otherwise transfer your profile.

8. User-Generated Contributions


The Site may offer features such as blogs, message boards, and online forums, allowing users to create, submit, or post content ("Contributions") including text, videos, images, and personal information. Contributions may be visible to other users and third-party websites, and are not considered confidential or proprietary. By submitting Contributions, you represent and warrant that:


1. You have the necessary rights to your Contributions and they do not infringe any third-party rights.


2. You own or have appropriate licenses, consents, and permissions for us and other users to use your Contributions as permitted.


3. You have consent from identifiable individuals in your Contributions to use their name or likeness.


4. Your Contributions are truthful, non-deceptive, and comply with our guidelines.


5. Your Contributions are not spam, advertising, or objectionable content.


6. Your Contributions do not harass, threaten, or violate the rights of others.


7. Your Contributions comply with all laws and regulations, including those regarding privacy and child protection.


8. Your Contributions do not contain offensive comments based on race, gender, or other protected characteristics.


9. Your Contributions do not violate these Terms of Use or any applicable laws.


Violation of these terms may result in termination of your access to the Site.


9. Contribution License


1. By posting Contributions to any part of the Site, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise. This license includes the right to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses thereof. The use and distribution may occur in any media formats and through any media channels, now known or hereafter developed.


2. While users retain full ownership of their contributions and associated intellectual property rights, we reserve the right to moderate, edit, or remove contributions that violate our community guidelines or terms of use. We do not claim ownership over user content. Users are solely responsible for their contributions and agree to hold us harmless from any legal action arising from their submissions. We may exercise discretion in moderating contributions but have no obligation to monitor them continuously.


3. Submissions: You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

10. PARTICIPANT OBLIGATIONS


10.1 Compliance


Participants agree to comply with all applicable laws, regulations, and professional ethics, as well as the terms and conditions outlined in this Agreement and any additional policies or guidelines provided by MNTTA.


10.2 Payment


Participants shall pay the applicable fees for enrolling in the educational courses and workshops as specified by MNTTA. Payments shall be made in a timely manner and in accordance with the payment terms provided by MNTTA.


11. REFUND POLICY


MNTTA offers a refund policy for participants who wish to cancel their enrollment in the educational courses and workshops.


1. The training fees paid will be valid for twelve months from purchase/registration date. At the expiration of the twelve-month period, IICD will neither refund any fees nor reimburse any other costs if the fees have not been used.


2. Fee once paid will not be refunded or adjusted in any manner or for any other purposes under any circumstances.


3. There is no charge for transferring your booking to the same course on an alternative date provided you notify IICD in writing not less than 10 days before the start of the training and if there is availability.


4. IICD reserves the right to cancel any training course due to insufficient enrollment by providing notice to you at least 7 calendar days prior to schedule commencement date. In the event of cancellation by IICD, you may elect to receive a full refund of registration fees paid, the amount should reflect in your account within 5-7 working days or credit toward alternative class(es).


5. If a training class is cancelled by IICD due to any Force Majeure Event as defined in clause 20, the Customer is entitled to a full class credit which must be used within 3 months of the date of the original class for another class offered by IICD.

12. PRIVACY POLICY


Our Privacy Policy governs the collection, use, and disclosure of personal information we receive from users of our website and services. We are committed to protecting your privacy and ensuring the confidentiality of your personal data. Our Privacy Policy outlines:

13. TERM AND TERMINATION


These Terms of Use apply as long as you use the Site. We reserve the right, without notice or liability, to deny access to the Site to anyone, for any reason or no reason. This includes terminating your use of the Site or deleting your account and any content you've posted. If we suspend your account, you can't create a new one, even under a different name. We may also take legal action if necessary.

14. MODIFICATIONS AND INTERRUPTIONS


We may change, modify, or remove content from the Site at any time without notice. We're not obligated to update the information. The Site may be modified or discontinued without notice, and we won't be liable for any changes, suspensions, or interruptions. We can't guarantee the Site will always be available due to technical issues or maintenance. You agree we're not liable for any inconvenience caused by downtime. We're not obliged to maintain or support the Site or provide updates.


15. CORRECTIONS


Sometimes, the Site may have errors like typos, inaccuracies, or missing info about descriptions, prices, or availability. We can correct these errors and update the information without notice.


16. DISCLAIMER


The Site is provided "as is" and "as available," and your use of it is at your sole risk. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. 17. LIMITATION OF LIABILITY


IICD and MNTTA shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the participation in the educational courses and workshops, including but not limited to loss of profits, loss of data, or loss of opportunity.


18. INDEMNIFICATION


You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:


1. Your Contributions;

2. Use of the Site;

3. Breach of these Terms of Use;

4. Any breach of your representations and warranties set forth in these Terms of Use;

5. Your violation of the rights of a third party, including but not limited to intellectual property rights; or Terms of Use.

6. Any overt harmful act toward any other user of the Site with whom you connected via the Site.


Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.


19. GOVERNING LAW AND DISPUTE RESOLUTION


This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

19.1 Binding Arbitration


If a dispute arises out of or in connection with this contract, or in respect of any defined legal relationship associated therewith or derived therefrom, the parties agree to seek an amicable settlement of that dispute by conciliation under The Indian Council of Arbitration (ICA) Rules of Conciliation. The authority to appoint the conciliator/conciliators shall be the Indian Council of Arbitration. The Indian Council of Arbitration will provide administrative service in accordance with the ICA Rules of Conciliation.

The seat, or legal place, of arbitration shall be Bengaluru, India. The language of the proceedings shall be English. The governing law of the contract shall be the substantive law of India.


19.2 Restrictions


The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law:

(a) no arbitration shall be joined with any other proceeding;

(b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and

(c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.


19.3 Exceptions to Arbitration


The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration:

(a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party;

(b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and

(c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.


20. FORCE MAJEURE


IICD and MNTTA shall not be liable for any failure to perform their obligations under these Terms of Use if such failure is caused by circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, government regulations, natural disasters, strikes, or power failures ("Force Majeure Event"). In the event of a Force Majeure Event, the affected party shall be excused from performance of its obligations under these Terms of Use for the duration of the Force Majeure Event.


21. MISCELLANEOUS


This Agreement constitutes the entire agreement between IICD, MNTTA, and the Participants regarding the subject matter herein and supersedes all prior agreements and understandings, whether oral or written.
