Effective from: 8 December 2025 (and until superseded)

This Agreement applies to all Trainers engaged by MNTTA – Montessori & Nursery Teacher Training Academy, across India, irrespective of location, mode of engagement, or nature of services.

Acceptance of this Agreement through digital means (Google Forms / LMS / email acknowledgment) shall constitute a binding contract under the Indian Contract Act, 1872 and Information Technology Act, 2000.

1. Role & Scope

Trainers engaged by MNTTA shall provide one or more of the following services:

• Live academic support or doubt-clearing sessions (online or offline).

• Preparation and delivery of original educational content.

• Video recording of lessons / topics / digital content creation.

• Participation in academic meetings when required.

• Any marketing-related training content or recording as assigned.

• This is an independent contractor relationship, not employment.

2. Fees

Online (90-minute)

• Up to 8 students: ₹1,500

• Up to 20 students: ₹2,000

• Up to 50 students: ₹2,500

• Above 50 students: ₹3,500

Face-to-Face Workshop (4 hours)

• ₹3,000 per session

Digital Content Creation (New Addition)

• ₹8,000 per day of video recording

Invoice & Payment

• Trainers must raise invoices within 7 days from the end of each month.

• MNTTA will process payments within 30 days of receiving a valid invoice.

• TDS/GST apply as per law.

3. Intellectual Property

All content, recordings, videos, images, transcripts, derivatives, edits, and metadata created as part of MNTTA’s training activities shall be exclusive property of MNTTA, with rights including:

·         worldwide

·         perpetual

·         transferable

·         sublicensable

·         use for AI training, LMS, advertisements, publications, and other media

·         Trainers waive moral rights to the extent permitted under law.

4. Confidentiality

Trainers must maintain confidentiality regarding MNTTA’s curriculum, strategy, student information, course materials, and internal processes during engagement and for 3 years after termination.

5. Non-Compete & Non-Solicitation

For 12 months after termination of engagement with MNTTA, trainers agree:

·         Not to run or deliver competing ECCE/Montessori/NTT training programs in India for the same target audience.

·         Not to solicit MNTTA’s students or employees.

6. Liability

Liability is capped to the fees paid to the Trainer in the previous 12 months, except for:

·         IP infringement

·         breach of confidentiality

·         fraud or misconduct

7. Term & Renewal

This Agreement is valid for 1 year and automatically renews each year, unless cancelled by either party with 30 days’ notice.

8. Termination

MNTTA may terminate immediately in case of breach, misconduct, or violation of child safety norms.

·         Upon termination:

·         IP rights remain with MNTTA

·         Confidentiality & non-compete obligations continue

·         Trainer will be paid for sessions delivered before termination

9. Governing Law & Dispute Resolution

·         Governed by the laws of India

·         Disputes resolved by arbitration (seat: Delhi), English language

DIGITAL ACCEPTANCE

By checking the acceptance box and submitting the Google Form (or equivalent digital acceptance), the Trainer acknowledges that:

1.     They have read and understood this Agreement;

2.    They voluntarily accept all terms;

3.    The digital acceptance is legally binding under Indian law.
